1. Agreement to Terms

By accessing our website, booking a call, or engaging RF Media (a division of R3zolution Films LLC) for any services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services or website.

These Terms apply to all visitors, clients, and anyone who accesses or uses our services. For active client engagements, your signed service agreement takes precedence over these general Terms where there is any conflict.

2. Services

RF Media provides media production and digital marketing services including, but not limited to:

• Video production (brand films, social reels, drone footage, walk-throughs, testimonials)
• Photography (real estate, headshots, brand, product)
• Social media management and content creation
• Paid advertising management (Meta Ads, Google LSA)
• Search engine optimization (Google SEO)
• Custom website design and development

Specific deliverables, timelines, and pricing are outlined in individual client agreements or proposals. We reserve the right to decline or discontinue any project at our discretion.

3. Payments & Fees

All service fees are outlined in your proposal or service agreement. By engaging RF Media, you agree to pay all fees as described. Our standard payment terms are:

• Project-based work: Full payment is required upfront before any work begins. RF Media operates on a payment-first basis — we do not invoice after the job is done. In select cases at our sole discretion, a deposit structure may be arranged prior to project start; any such arrangement will be confirmed in writing.
• Monthly retainers: Invoiced at the start of each billing period and due before the month's work commences. Late payments beyond 15 days may result in paused services.
• Ad spend: Client is responsible for all ad spend billed directly by ad platforms (Meta, Google, etc.). RF Media management fees are separate from ad spend and due upfront each billing period.

All payments are non-refundable once work has commenced. We take payment upfront because production requires immediate allocation of our team, equipment, time, and third-party resources — none of which can be recovered once committed.

4. Revisions & Deliverables

The number of revisions included with any project is specified in your service agreement or proposal. Requests for revisions beyond the agreed scope will be billed at our standard hourly rate. Deliverables are provided in the formats specified in your agreement. RF Media is not responsible for compatibility issues with third-party platforms or software beyond standard web and social media formats.

5. Client Responsibilities

To ensure timely delivery of your project, you agree to:

• Provide accurate project briefs, brand guidelines, and required materials in a timely manner
• Make yourself or designated contacts available for shoot days, calls, and approvals
• Provide feedback and approvals within the timeframes specified in your agreement
• Ensure all locations, talent, and third-party permissions required for your project are secured
• Ensure that any content, logos, or materials you provide do not infringe on third-party intellectual property rights

Delays caused by late feedback or unavailability on the client's part may result in adjusted timelines and are not grounds for refund.

6. Intellectual Property & Ownership

Upon receipt of full payment, clients receive a license to use all final deliverables produced by RF Media for their own business and marketing purposes. This includes websites, videos, photos, and other creative assets.

RF Media retains the right to display all work produced for portfolio, marketing, and case study purposes unless a written confidentiality agreement is in place prior to project commencement.

Raw footage, unedited files, source files, and working project files remain the property of RF Media unless explicitly agreed otherwise in writing.

Any third-party music, stock footage, or licensed elements used in your project are subject to their respective license terms. RF Media will use commercially licensed assets for client work.

7. Advertising Services

For paid advertising services (Meta Ads, Google LSA, etc.), the client acknowledges that:

• Results cannot be guaranteed. Advertising performance depends on many variables including budget, market conditions, creative quality, and platform algorithms.
• The client is responsible for all ad spend billed directly by ad platforms (Meta, Google, etc.).
• RF Media management fees are charged separately from ad spend and are non-refundable.
• Campaigns require a reasonable ramp-up period (typically 30–60 days) before optimal performance is achieved.
• RF Media is not liable for changes in platform policies, algorithm updates, or account suspensions caused by content that violates platform terms.

8. Website Design & Development

For web design projects:

• Hosting, domain registration, and ongoing maintenance fees (beyond the scope of the project) are the client's responsibility unless a maintenance retainer is active.
• RF Media is not responsible for website downtime, hosting issues, or security vulnerabilities once the site has been handed off to the client.
• Any changes made to the site by the client or a third party after handoff void any support obligations included in the original project.

9. Cancellations & Termination

Project-based work: Cancellations after work has commenced forfeit the deposit. If work is 50% or more complete, the full project fee may be owed.

Monthly retainers: Either party may cancel a retainer with 30 days' written notice. Fees for the current billing period are non-refundable.

RF Media reserves the right to terminate any engagement immediately if a client engages in abusive, threatening, or unlawful behavior, or fails to pay outstanding invoices.

10. Limitation of Liability

To the fullest extent permitted by law, RF Media and R3zolution Films LLC shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services, including but not limited to lost profits, lost revenue, or loss of data. Our total liability to any client shall not exceed the total fees paid by that client in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless RF Media, R3zolution Films LLC, and its employees, contractors, and officers from any claims, damages, or expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

12. Governing Law

These Terms of Service are governed by the laws of the State of New York. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Nassau or Suffolk County, New York.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Changes take effect upon posting to this page. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.
